Public Offer (Terms of Payment)

1. General Provisions

This document is a public offer (public contract) under Articles 633, 641, 642 of the Civil Code of Ukraine.

Buyer: any natural or legal person who pays for access to the Marketoria Service in accordance with this Offer.

2. Subject of the Agreement

The Seller provides the Buyer with remote access to the SaaS service Marketoria (marketoria.com.ua) — an AI-powered platform for automated generation of advertising banners, copy, and marketing strategies. Services are provided on the terms of subscription or single-purchase token packages.

3. Acceptance of the Offer

The Buyer accepts this Offer in full and without reservations by performing both of the following actions:

• registering an account at marketoria.com.ua;
• paying for a tariff plan or a token package through WayForPay.

Partial acceptance is not permitted. Payment confirms that the Buyer has read and agrees to this Offer, the Terms of Service, and the Privacy Policy.

4. Prices and Payment Procedure

Prices for subscriptions and token packages are published on the Service pricing page (/dashboard/settings?tab=subscription) and are indicated in Ukrainian hryvnia (UAH).

Payments are processed by WayForPay (wayforpay.com), an independent payment provider licensed by the National Bank of Ukraine. Transactions are protected by SSL encryption; the Seller does not store or process the Buyer's card data.

Product types:

• Subscription — recurring access to Service features for a selected period (month / year).
• Token package — a one-time purchase of a finite quantity of generation tokens without expiration within the account.

5. Service Delivery Terms

Access to paid features is activated automatically within 5 minutes after WayForPay confirms the payment. The Service is available 24/7 except for scheduled maintenance, of which the Seller will notify the Buyer in advance when possible.

Technical requirements: modern web browser (Chrome, Safari, Firefox, Edge of the last two versions), stable internet connection.

6. Refund Policy

Subscriptions: subscription fees are non-refundable once the subscription period has been activated. The Buyer may cancel automatic renewal at any time through account settings; cancellation takes effect at the end of the current paid period.

Token packages: a refund may be requested within 14 calendar days from the date of purchase, provided that not a single token from the purchased package has been spent. If at least one token has been used, the package is deemed fully delivered and is non-refundable.

Request procedure:

1. Send a request to support@marketoria.com.ua with the subject "Refund Request" and include: order ID, date of purchase, and the reason for refund.
2. The Seller reviews requests within 10 (ten) business days.
3. Approved refunds are processed via WayForPay to the same card used for the original payment. Funds normally arrive within 3–10 banking days depending on the issuing bank.

Non-refundable cases: partial use of a token package, change of mind after 14 days, service suspension due to violation of the Terms of Service.

7. Liability of the Parties

The Service is provided on an "as is" basis. The Seller does not guarantee any specific commercial or marketing result from using AI-generated content. The Buyer bears sole responsibility for the legality and compliance of the generated content with applicable law, platform policies (Meta, Google, etc.), and the rights of third parties.

The Seller's aggregate liability for any claim related to the Service is limited to the amount actually paid by the Buyer within the twelve (12) months preceding the claim.

8. Privacy

Processing of personal data is governed by the Privacy Policy. WayForPay acts as an independent data processor for payment transactions and receives card details directly from the Buyer; the Seller does not have access to full card numbers or CVV codes.

9. Force Majeure

The Parties are released from liability for non-performance of obligations caused by force majeure circumstances (natural disasters, military actions, decisions of public authorities, large-scale internet outages, etc.) during the time such circumstances remain in effect.

10. Dispute Resolution

Disputes are resolved through negotiation. If agreement cannot be reached, disputes are settled in accordance with the laws of Ukraine in the competent court at the location of the Seller.
